THESE TERMS & CONDITIONS (“TERMS”) GOVERN YOUR ACCESS TO AND USE OF THE POPPY HEALTH PLATFORM AND RELATED SERVICES (THE “SERVICES”). BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICES.
OVERVIEW OF SERVICES Poppy Health (“Poppy,” “we,” “us,” or “our”) provides a technology platform that connects individuals with licensed practitioners and facilitates access to personalized herbal care and related products. The Services may include intake tools, asynchronous communication, practitioner recommendations, and product fulfillment.
ROLE OF POPPY Poppy is not a healthcare provider and does not practice medicine, diagnose conditions, or provide medical treatment. Poppy operates solely as a technology platform that enables communication and transactions between users and independent practitioners. Any health-related guidance, recommendations, or services are provided exclusively by independent practitioners. To the fullest extent permitted by law, Poppy does not control, supervise, or direct practitioner decisions and disclaims responsibility for any clinical judgments, recommendations, or outcomes.
RELATIONSHIP WITH PRACTITIONERS By using the Services, you acknowledge that you may establish a direct relationship with an independent practitioner. Practitioners are independent professionals and are not employees, agents, or representatives of Poppy. Practitioner services are based on the information you provide and are subject to the practitioner’s independent professional judgment. To the fullest extent permitted by law, Poppy is not responsible for the acts or omissions of any practitioner.
NO DOCTOR-PATIENT RELATIONSHIP WITH POPPY Your use of the Services does not create a doctor-patient or other healthcare provider relationship with Poppy. Any such relationship, if established, exists solely between you and the practitioner.
ELIGIBILITY AND ACCOUNT REGISTRATION You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet these requirements.
You agree to provide accurate, complete, and current information and to maintain and promptly update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
USER RESPONSIBILITIES AND ACCEPTABLE USE You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to misuse the Services, interfere with their operation, attempt unauthorized access, or use the Services in any manner that could harm Poppy, practitioners, or other users.
You agree not to use the Services for emergency medical needs or in situations requiring immediate care.
PAYMENTS AND PRICING All Services and products offered through Poppy are provided on a cash-pay basis and are not submitted to insurance or government healthcare programs. You agree to pay all fees associated with your use of the Services, including applicable taxes and shipping costs. Payments are processed through third-party payment providers, and by providing payment information, you authorize such providers to charge your selected payment method.
SAVED PAYMENT METHODS AND FUTURE ORDERS If you choose to save your payment method at checkout, Poppy and its payment providers may securely store your payment information for future herbal formula and refill orders associated with your care plan. Future formula orders may vary in price based on your practitioner’s recommendations and evolving care needs. You will be notified before any future charge is processed, and future orders are not required to continue using the Services.
PRODUCTS AND SERVICES DISCLAIMER Products and recommendations provided through the Services may include herbal formulations and wellness products. These products are not intended to diagnose, treat, cure, or prevent any disease and have not been evaluated by the U.S. Food and Drug Administration.
Information provided through the Services is for informational purposes only and should not be considered a substitute for professional medical advice, diagnosis, or treatment. You should consult a qualified healthcare provider regarding any medical condition, treatment decisions, or before beginning any new health regimen.
THIRD-PARTY SERVICES The Services rely on third-party providers, including practitioners, payment processors, fulfillment partners, and technology providers. These third parties operate independently of Poppy, and Poppy does not control and is not responsible for their services, actions, or omissions. To the fullest extent permitted by law, Poppy disclaims liability arising from your interactions with or reliance on any third-party services. Your use of such services may be subject to separate terms and policies.
INTELLECTUAL PROPERTY All content, materials, and functionality provided through the Services, including text, graphics, logos, designs, and software, are owned by or licensed to Poppy and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, create derivative works from, or otherwise exploit any part of the Services without prior written consent from Poppy.
DISCLAIMER OF WARRANTIES The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Poppy makes no representations or warranties, express or implied, regarding the accuracy, reliability, completeness, or availability of the Services. To the fullest extent permitted by law, Poppy disclaims all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
LIMITATION OF LIABILITY To the fullest extent permitted by law, Poppy and its affiliates, officers, directors, employees, contractors, practitioners, service providers, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Services, even if Poppy has been advised of the possibility of such damages. To the fullest extent permitted by law, Poppy shall not be liable for any decisions made based on practitioner recommendations or for any outcomes resulting from the use of products or Services. Your use of the Services is at your own risk. To the fullest extent permitted by law, Poppy’s total cumulative liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to Poppy for the Services in the twelve (12) months preceding the event giving rise to the claim or (b) one hundred dollars ($100). In jurisdictions that do not allow certain limitations of liability, Poppy’s liability shall be limited to the maximum extent permitted by law.
INDEMNIFICATION You agree to indemnify, defend, and hold harmless Poppy and its affiliates, officers, directors, employees, contractors, practitioners, service providers, and agents from and against any claims, demands, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any rights of a third party.
Poppy reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Poppy in asserting any available defenses.
TERMINATION Poppy reserves the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms or applicable law. Upon termination, your right to access and use the Services will immediately cease, but all provisions of these Terms that by their nature should survive termination shall survive, including provisions relating to limitation of liability, indemnification, and dispute resolution.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and any disputes arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located within the State of Illinois, and you hereby consent to the personal jurisdiction and venue of such courts.
CHANGES TO TERMS We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

THIS TELEHEALTH CONSENT DESCRIBES THE NATURE OF REMOTE SERVICES PROVIDED THROUGH POPPY HEALTH (“POPPY,” “WE,” “US,” OR “OUR”) AND OBTAINS YOUR INFORMED CONSENT TO RECEIVE SUCH SERVICES. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THIS TELEHEALTH CONSENT.
NATURE OF TELEHEALTH SERVICES Telehealth involves the delivery of health-related services using electronic communications, information technology, or other means between a licensed practitioner and an individual who are not in the same physical location. The Services provided through Poppy may include remote, asynchronous interactions, including intake forms, written communications, and other digital exchanges. While telehealth may offer certain benefits, including increased convenience and access to care, it also presents inherent limitations and risks. Telehealth services are not appropriate for all conditions and are not a substitute for in-person care in all cases. As a condition of using the Services, you are required to review and agree to this Telehealth Consent. By proceeding, you acknowledge and accept the nature of telehealth services, including their limitations and risks.

Any health-related guidance, recommendations, or services are provided exclusively by independent practitioners. To the fullest extent permitted by law, Poppy does not control or direct practitioner decisions and is not responsible for the acts or omissions of any practitioner.
NATURE OF PRACTITIONER SERVICES Practitioners who provide services through the platform may review information you submit and offer guidance, recommendations, or herbal formulations based on their professional judgment. These services are based on the information you provide and may be limited by the absence of an in-person evaluation. The Services may involve asynchronous communication, meaning that practitioners may not respond in real time and there may be delays between submission and response.
NOT EMERGENCY CARE The Services are not intended for use in emergency situations. If you are experiencing a medical emergency, call 911 or seek immediate in-person medical care.
Poppy and practitioners do not guarantee response times, and communications submitted through the platform may not be reviewed immediately.
LIMITATIONS OF TELEHEALTH Telehealth services have inherent limitations. Information used by practitioners is based on what you provide and may be incomplete, inaccurate, or subject to misinterpretation. The absence of a physical examination may limit a practitioner’s ability to fully assess your condition. Telehealth may result in limitations in the ability to fully evaluate a condition, which may increase the risk of incomplete assessment or delayed identification of underlying issues. Technical issues, including connectivity problems, system errors, or platform outages, may affect the availability, timeliness, or quality of communications. Practitioners may determine that your condition is not appropriate for remote care and may recommend that you seek in-person evaluation or discontinue use of the Services.
POTENTIAL RISKS Potential risks of using telehealth services include, but are not limited to, delays in evaluation or recommendations, incomplete or inaccurate information affecting outcomes, limitations in diagnosis or treatment, misunderstandings between you and the practitioner, technical failures affecting communication, and risks to data privacy despite reasonable safeguards. There is no guarantee that the Services will result in any specific outcome or improvement.
ALTERNATIVES TO TELEHEALTH You may choose to seek care through traditional in-person services instead of using telehealth. In certain situations, in-person care may be more appropriate or necessary.
PRIVACY AND SECURITY Telehealth services involve the electronic transmission of personal information. While Poppy implements safeguards designed to protect your information, no system can guarantee absolute security. There is a risk that communications or data could be accessed or disclosed in ways beyond our control. You are responsible for using secure environments and devices when accessing the Services.
YOUR RESPONSIBILITIES You agree to provide accurate, complete, and up-to-date information and to update such information as necessary. You are responsible for making informed decisions about your care and for seeking additional or in-person care when appropriate. You acknowledge that recommendations provided through the Services are based solely on the information you provide and may change if additional information becomes available.
NO GUARANTEE OF OUTCOMES Recommendations provided through the Services are based on practitioner judgment and available information. Poppy does not guarantee any specific results, outcomes, or improvements from use of the Services or products.
CONSENT TO RECEIVE TELEHEALTH SERVICES By using the Services, you acknowledge that you have read and understand this Telehealth Consent, including the nature of telehealth services, their limitations, and associated risks, and you voluntarily consent to receive services through this format.
